This is a translation for convenience. In case of any discrepancy, the German version prevails.
1. Scope
These general terms and conditions (terms) govern the use of the software “Nighthub” during the free trial and under a paid subscription. They apply to all contracts between Nighthub and the customer. Deviating terms of the customer only apply if we have agreed to them in writing.
Nighthub is offered exclusively to companies, associations, event organisers and other business customers in Switzerland and Europe. By signing up, the customer confirms that they are acting in the course of their trade, business or profession and not as a consumer.
2. Contracting party
The customer’s contracting party is Nighthub Software LTD, 128 City Road, EC1V 2NX London, United Kingdom (“Nighthub” or “we”). Contact: contact@nighthub.ch.
3. Service
Nighthub provides the customer with a cloud-based application for events, reservations, guest lists, ticketing, customer management and further modules as a dedicated instance at an address of the form name.nighthub.ch. The scope depends on the booked plan and add-ons as shown on the pricing page at www.nighthub.ch. We continuously develop the application; individual features may change as long as the core of the booked service is preserved.
4. Signup and conclusion of contract
The customer signs up using the form at www.nighthub.ch and confirms their email address via the link we send. The contract for the trial is concluded upon this confirmation. We may decline a signup without giving reasons, in particular if the information is incomplete or obviously incorrect.
The chosen instance address (subdomain) cannot be changed after setup. We may decline or replace addresses that infringe third-party rights or are misleading.
5. Trial
The trial lasts 30 days from the setup of the instance and is free of charge. During the trial, the features of the Premium Plus plan and the newsletter, SMS tool and member management add-ons are available. No payment details are required for the trial.
The trial ends automatically and at no cost. If the customer does not subscribe by then, we lock the instance. The data is kept for at least 60 days after locking so that the customer can still subscribe; after that we may delete the instance including its data. Costs of third-party services the customer uses during the trial (for example sending SMS or fees of their payment provider) are borne by the customer.
6. Subscription, minimum term and cancellation
The customer subscribes inside their instance. If they subscribe during the trial, billing only starts once the trial has ended. The subscription is billed monthly in advance and renews for a further month each time.
The minimum term is 3 months from the first charge. The customer can cancel at any time, inside the instance or by email to contact@nighthub.ch. Cancellation takes effect at the end of the minimum term or at the end of the current billing period, whichever is later. Amounts already paid are not refunded pro rata.
The customer can add or remove add-ons; changes apply from the next billing period. Add-ons from the trial that the customer does not book when subscribing end with the trial. Both parties’ right to terminate for good cause remains reserved.
7. Prices and currency
The prices on the pricing page at www.nighthub.ch at the time of booking apply. Customers based in Switzerland or Liechtenstein pay in Swiss francs (CHF), all other customers in euros (EUR).
Price changes for running subscriptions are material changes and only take effect with the customer’s express consent (section 15).
8. Payment
Payment is processed by the payment service provider Stripe, usually by credit card or another payment method offered there. We issue invoices electronically; the customer finds them in their instance. Stripe’s terms additionally apply to payment processing.
Revenue from ticket sales flows directly from the guest to the customer through the customer’s own payment provider. Nighthub is not involved in this flow of money and charges no commission.
9. Late payment and suspension
If a payment fails, Stripe retries the charge several times and informs the customer. If the invoice remains unpaid after that, we may lock the instance. The data is kept while the instance is locked. As soon as the open invoice is paid, we lift the lock. The obligation to pay the amounts accrued until then remains.
10. Customer obligations
The customer keeps their login details confidential, ensures the lawful processing of the data of their guests, customers and staff, and complies with the legal requirements that apply to them, for example on advertising, newsletters and sending SMS. Misuse of the application, unlawful content and attempts to circumvent the platform’s security are prohibited.
The customer is responsible for contracts with their own third-party providers (for example the payment provider used for ticketing).
11. Data protection and processing on behalf
The customer is the controller for the data about their guests, customers and staff that they enter into Nighthub. Nighthub processes this data solely on the customer’s behalf and according to their instructions. The data processing terms under Art. 28 GDPR and the revised Swiss Federal Act on Data Protection (revFADP) form part of this contract.
Instances and data are hosted in Switzerland. We use the following sub-processors:
- Trendhosting (Jelastic platform), Switzerland — hosting of instances and databases
- Stripe — payment processing for the subscription
- SparkPost — sending newsletters and emails, where the customer uses these features, and sending Nighthub emails about the sign-up and the instance (for example the confirmation link and notices)
- SMS.to — sending SMS, where the customer uses the SMS tool
Stripe, SparkPost and SMS.to may process data outside Switzerland and the EU on the basis of appropriate safeguards such as the EU standard contractual clauses. More information is available in the privacy policy.
12. Availability and maintenance
We strive for high availability but do not owe uninterrupted access. Where possible, we carry out maintenance outside main operating hours and announce larger interruptions in advance. We back up the data daily.
13. Liability
We are liable for damage we cause intentionally or through gross negligence. For slight negligence we are only liable for breaches of essential contractual obligations, limited to the typical, foreseeable damage and at most to the fees paid by the customer in the last 12 months. Liability for indirect damage, loss of profit and consequential damage is excluded. During the free trial we are only liable for intent and gross negligence.
In the event of data loss, we are only liable for the effort required to restore the data from the most recent backup. Mandatory statutory liability provisions remain reserved.
14. End of contract and data
Until the end of the contract, the customer can save their data using the application’s export features or request an export from us. After the end of the contract we lock the instance and keep the data for at least 60 days; after that we may delete it unless a statutory retention obligation applies.
15. Changes to these terms
Minor changes (such as legal adjustments, new features or clarifications that do not affect price, scope of services, term or liability) are announced by email at least 30 days before they take effect. The customer may object and terminate the contract without notice with effect from the date the change takes effect. If the customer neither objects nor terminates, the change applies. The announcement email points out this consequence explicitly.
Material changes (price, scope of services, term, liability) only apply with the customer’s express consent, for example by confirming in the instance. Without consent, the contract continues on the previous terms until one party terminates it in accordance with the contract.
16. Governing law and jurisdiction
These terms are governed by the laws of England and Wales. The courts of London, England, have exclusive jurisdiction. Should any provision of these terms be invalid, the remaining provisions remain valid.
